Terms & Conditions
The following Terms and Conditions apply to having ACIR Design handle your project.
Standard Media Delivery
- This Agreement assumes that all text is provided by the Client in electronic format (.txt/.doc on CD/DVD, e-mail or ftp retrievable), all photographs and other graphics are provided in high quality print suitable for scanning or in a .gif, .jpeg, .bmp, .tif, .psd, .eps, .ai or editable fla format.
- Additional expenses may be incurred and will be invoiced accordingly for corrective work, conversion of media and outside facility charges.
Permission and Copyright
- The Client will obtain all the necessary permissions and authorities in respect of the use of all copy, graphic images, registered company logos, names and trademarks or any other supplied material.
- Every contract for page design and placement shall be regarded as a guarantee by the Client to ACIR Design that all such permissions and authorities have been obtained.
- Evidence of permissions and authorities may be requested.
Access Requirements
- In order to install the design in question, ACIR Design must be granted read/write access to the Client's storage directories; those directories must be accessible via FTP.
- Depending on the project, other resources might have to be configured on the server end (for scripts, imagemaps, etc.).
Right to Remove
- The Client agrees to give ACIR Design "on demand" access to the installed designs and the Client further agrees that ACIR Design shall have the right to remove that design from public posting for failure to adhere to the terms of this Agreement, including violating any licensing agreements or failure to pay fees duly assessed.
Post Completeion Alterations
- ACIR Design cannot accept responsibility for any alterations caused by third party occurring to the Client's pages once placed. Such alterations include, but are not limited to additions, modifications, or deletions.
Impossibility of Performance
- The Client acknowledges and agrees that ACIR Design cannot guarantee the absence of service interruptions caused by Acts of God or other circumstances beyond its control including, but not limited to, telecommunications problems.
Invoices & Payments
- All prices are given in GBP (Pounds Sterling).
- A deposit of at least 25% of the total project cost is required.
- Once the deposit has been received, then both ACIR Design and the client are under contract to complete the work within a reasonable timescale.
- ACIR Design reserves the right to refrain from starting any agreed work until the requested deposit has been received and the funds cleared if necessary.
- Once the concept design has been approved, any further or major changes to either the design or functionality (including any additional pages not agreed upon in the Final Proposal) may be charged at additional costs at the discretion of ACIR Design and added to the final invoice.
- Any additional time or costs incurred to ACIR Design including searching for and purchasing images, setting-up email accounts and purchasing domains etc, may also be charged at additional costs at the discretion of ACIR Design and added to the final invoice.
- Once the agreed work is completed and the site is put live - even if for any reason the site is not requested to go live within one week from completion of the agreed work - the remainder of the payment will be due within 28 days from the date of the final invoice, unless otherwise agreed.
Client Delays & Unpaid Invoices/Cancellations
- If ACIR Design is kept waiting for over 3 months without receiving any content in order to proceed with or complete any agreed work, then it reserves the right to charge for the remaining payment or at least part of the remaining payment, unless otherwise agreed and/or ACIR Design is kept informed of any reasons for the delay. Any changes needed on the site resulting from a long delay in the client providing content may be charged at additional costs at the discretion of ACIR Design.
- If the final invoice for the remaining payment is not paid within the agreed time than ACIR Design reserves the right to charge a minimum of 1% interest for each day the payment is overdue, at ACIR Design's own discretion.
- In extreme circumstances, ACIR Design reserves the right to take the site offline if the final invoice for the remaining payment is not paid within the agreed time, and may only put the site live again once the payment is received and the funds cleared by the bank if necessary, unless otherwise agreed.
- Cancellation of orders for authoring or placement may, in the first instance, be made by telephone, but must be confirmed in writing by e-mail or letter. The Client will be invoiced for authoring work completed to the date of first notice of cancellation for payment in full within 28 days. The full invoiced amount of the order must be paid if the cancellation is not received in writing within 10 working days.
Timescales & Deadlines
- ACIR Design aims to complete all agreed work, unless otherwise arranged at any stage during the project. ACIR Design aims to complete the work within any agreed timescales or deadlines and the client will be informed if for any reason there are any delays in completing the work.
Privacy Statement
- ACIR Design agrees NOT to pass your details on to any other person or organisation of any kind without your permission or request to do so.
Acceptance of Terms and Conditions
- The placement of an order or contract for the authoring or placement of pages with ACIR Design will be regarded as an acceptance of all the above terms and conditions.
- Orders may be placed, in the first instance, by telephone or e-mail and must be confirmed in writing by e-mail or by letter.
